In derivatives, we are familiar with both exchange-traded derivatives and over-the-counter derivatives and it regularly advise on issues of enforceability, regulatory treatment, documentation and creditor rights.  The firm’s derivatives practice includes transactions that range from the relatively prosaic ISDA swaps to unique structured notes with embedded derivative elements. We also have  been retained for unusual and specialized derivatives projects, such transfers of derivatives transactions resulting from changes in corporate structure and M&A.

In structured finance, the firm is a pioneer in the field of asset-backed securitization in Israel, counseling arrangers and sellers on the intricacies of these financings.  Most recently, we advised on securitizations of such assets as mortgages and trade receivables. The firm is involved in various forms of structured product origination, possessing familiarity with cash or synthetic transaction and static or actively managed projects.  It works closely with arrangers and banks in structuring transactions that are dependent on the proper treatment of instruments under institutional investors' regulatory guidelines.   The firm has been the lead counsel on securitization and conduit financing transactions involving trade receivables and had been lead legal advisor for a number of banks seeking to securitize credit portfolios.
